1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Speed Labs, Inc. (“Speed,” “we,” “us,” or “our”). These Terms govern your access to and use of the Speed Survivor game, our websites, mobile applications, software, widgets, APIs, and all related services (collectively, the “Service”).
By creating an account, accessing the Speed Survivor game, depositing funds, entering sweepstakes-style skill contests (“Contests”), or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any Contest-specific rules, FAQs, policies, disclosures, and supplemental terms incorporated by reference (collectively, the “Contest Rules”).
If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity and that “you” as used herein refers to both you and that entity.
You also acknowledge that these Terms include a binding arbitration agreement, a waiver of class actions, and a waiver of jury trial for certain disputes, as described in Section 18 below.
2. Description of Service
Speed Survivor is a sweepstakes-style skill contest platform that allows Users to enter competitions, make predictive decisions during live sporting events, and compete for cash or other prizes (“Prizes”). All Contests are governed by these Terms and by the specific Contest Rules presented at or before entry into each Contest. Contest Rules are hereby incorporated into and made a part of these Terms.
The Service may include, without limitation: Contest lobbies and leaderboards; real-time game interfaces; APIs; account funding and withdrawal tools; messaging, notifications, and other communication tools; and dashboards or analytics related to your participation.
Speed reserves the sole and absolute discretion to determine Contest structures, scoring systems, question formats, payouts, eligibility criteria, and prize allocations, and may modify, suspend, or discontinue any part of the Service or any Contest at any time, with or without notice, to the fullest extent permitted by law.
Skill-Based Contest Disclosure
All Speed Survivor Contests are designed and intended to be games of skill, not games of chance. Player success depends predominantly on the User’s knowledge, strategic decision-making, timing, and predictive abilities.
Entry fees (if any) are paid solely to obtain gameplay access and do not constitute a wager, bet, or stake on the outcome of any sporting event. Prizes are awarded based on Contest performance as determined by the applicable Contest Rules.
3. Eligibility
- You must be at least 18 years old or the legal age of majority in your jurisdiction, whichever is greater.
- You must not be located in any jurisdiction where sweepstakes, skill contests, or similar games are restricted, prohibited, or require registration, licensing, or other approvals that Speed has not obtained.
- You are solely responsible for ensuring that your participation in the Service and in any Contest is lawful in your jurisdiction and for complying with all applicable laws, rules, and regulations.
- You may be required to pass identity verification, age verification, sanctions screening, or other compliance checks (including “Know Your Customer” or “KYC” procedures) as a condition to funding your account, entering Contests, or receiving Prizes.
- Employees, officers, and contractors of Speed Labs, Inc., its affiliates, and members of their households may be restricted or prohibited from participating in certain Contests at Speed’s sole discretion.
- You must not be subject to any sanctions, embargoes, or restrictions imposed by any governmental or regulatory authority that would prohibit your use of the Service.
4. Account Registration & Security
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Promptly update your information as necessary to keep it accurate and complete.
- Maintain the confidentiality of your login credentials and restrict access to your device.
- Immediately notify Speed of any unauthorized use of your account or any security breach.
- Be solely responsible for all activities and transactions that occur under your account.
Speed may, in its sole discretion, refuse to open an account, close or suspend an existing account, or require additional verification or documentation at any time, including to comply with applicable law, mitigate fraud or money laundering risks, or protect the integrity of the Service.
5. User Responsibilities & Prohibited Activities
You agree that you will:
- Use the Service solely for lawful, personal entertainment purposes.
- Comply with these Terms, the Contest Rules, and all applicable laws and regulations.
- Cooperate with any investigations or compliance reviews conducted by Speed.
You further agree that you will not, directly or indirectly:
- Use the Service to engage in any form of fraud, money laundering, terrorist financing, or other unlawful activity.
- Use scripts, bots, automation tools, scrapers, or multiple accounts to gain an unfair advantage.
- Collude with other Users or third parties to manipulate Contest outcomes, odds, or scoring.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or other Users’ accounts.
- Reverse engineer, decompile, or attempt to derive source code from any part of the Service.
- Use stolen, compromised, or unauthorized payment methods or identities.
- Sell, transfer, or share accounts, entries, or Prizes except as expressly permitted by Speed.
6. Deposits, Payments, Chargebacks & Withdrawals
- By providing a payment method (e.g., credit card, debit card, bank account, digital wallet), you represent and warrant that you are authorized to use that method and authorize Speed and its payment processors to initiate charges, debits, credits, and holds as necessary to process deposits, entry fees, and withdrawals.
- All entry fees are final and non-refundable once a Contest begins, subject to any explicit refund policies posted by Speed. Speed may, but is not obligated to, grant refunds or credits in its sole discretion.
- Speed may delay, withhold, freeze, or deny deposits, withdrawals, and prize payouts for fraud review, identity verification, chargeback risk, suspicious activity, or legal compliance.
- In the event of any chargeback, reversal, or dispute initiated by you or your payment provider, you remain responsible for the full amount of the disputed transaction, any resulting fees, penalties, and costs, and any associated losses to Speed. Speed may offset such amounts against your account balance, future Prizes, or other amounts owed to you.
- You agree not to make or attempt to make chargebacks or payment disputes that are fraudulent or in bad faith. Speed may close or suspend your account, cancel your entries, and recover any Prizes or bonuses associated with such activity.
- Speed may require you to complete additional verification steps (including identity, address, tax, or banking verification) before approving any withdrawal or payout.
7. Contest Rules, Results & Binding Decisions
Each Contest is governed by Contest Rules that may include eligibility requirements, entry fees, prize structures, tie-breaking procedures, scoring algorithms, and other conditions. By entering a Contest, you agree to be bound by the applicable Contest Rules, which are hereby incorporated into these Terms by reference.
- In the event of any conflict between these Terms and the Contest Rules, these Terms will control except where the Contest Rules expressly state that they supersede these Terms for that specific Contest.
- Speed’s calculations, scoring, and determinations of Contest outcomes, standings, and Prizes are final, binding, and non-appealable, except as Speed may decide in its sole discretion to correct obvious errors or address technical failures.
- Speed may modify prize pools, cancel or reschedule Contests, adjust scoring, or declare “no results” in cases of technical issues, data irregularities, force majeure events, or other circumstances that materially affect the fairness or viability of a Contest.
8. Compliance, Fraud Review & Anti-Money Laundering
Speed may monitor activity on the Service to detect and prevent fraud, money laundering, and other unlawful or suspicious conduct. You acknowledge and agree that:
- Speed may require additional information and documentation (including government-issued identification, proof of address, and source of funds) and may suspend or restrict your account until such information is provided and reviewed.
- Speed may share information about you, your account, and your transactions with payment processors, banks, service providers, auditors, and law enforcement authorities as reasonably necessary to detect and prevent fraud, money laundering, or other unlawful activity, or as required by law.
- Speed may freeze, block, or forfeit balances and Prizes where required by law or where Speed reasonably believes that they are associated with unlawful, fraudulent, or abusive conduct.
9. Gameplay, Data Feeds & Odds Disclosure
Participation in Speed Survivor does not guarantee any winnings. The outcome of Contests depends on your decisions, Contest Rules, data feeds from third parties, and real-world sporting events that are inherently unpredictable. Speed may adjust question difficulty, scoring, or game mechanics to promote fairness and compliance.
Speed does not warrant that data feeds, statistics, or other information presented in the Service are accurate, complete, or up-to-date. In the event of discrepancies, Speed’s determination of the official outcome will govern.
10. Data, Privacy, Security & Data Breaches
Your use of the Service is also subject to our separate Privacy Policy, which describes how we collect, use, share, and protect your personal information. By using the Service, you consent to our collection, use, and disclosure of information as described therein.
You acknowledge that:
- No method of transmission over the Internet or method of electronic storage is completely secure, and Speed cannot guarantee absolute security of your information.
- Speed may use third-party service providers, hosting partners, analytics providers, and payment processors that may be located in jurisdictions other than your own. Your information may be transferred to, processed in, and stored in such jurisdictions.
- To the maximum extent permitted by law, Speed shall not be liable for any damages resulting from unauthorized access, hacking, data breaches, or other security incidents, except to the extent caused by Speed’s gross negligence or willful misconduct.
11. Real-Time Technology & Connectivity Requirements
The Service, including Speed Survivor Contests, makes use of real-time and near–real-time technology that requires a stable, continuous data connection from your device. Timely updates to game states, questions, timers, scores, and results may depend on the quality and reliability of your internet connection and the performance of your device.
By using the Service, you acknowledge and agree that:
- You are solely responsible for obtaining, maintaining, and paying for a compatible mobile device, operating system version, and data plan sufficient to support real-time gameplay.
- For best performance, we recommend a modern smartphone (released within the last 3–4 years), a current version of iOS or Android, and a stable broadband connection such as:
- Wi-Fi with a reliable broadband connection; or
- 4G LTE, 5G, or equivalent mobile data service with low latency.
- Network interruptions, congestion, handoffs between towers, Wi-Fi dead zones, background app activity, battery saver modes, VPNs, and other device or network conditions may cause delays, lag, or failure to receive prompts, updates, or results in real time.
- You are responsible for any data, SMS, roaming, or other carrier charges incurred through your use of the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEED IS NOT RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, MISSED OPPORTUNITY, OR ADVERSE CONTEST OUTCOME RESULTING FROM:
- NETWORK OUTAGES, PACKET LOSS, LATENCY, OR OTHER ISSUES CAUSED BY YOUR INTERNET SERVICE PROVIDER, MOBILE CARRIER, WI-FI NETWORK, OR ANY THIRD-PARTY COMMUNICATIONS PROVIDER;
- DEVICE-LEVEL ISSUES INCLUDING, WITHOUT LIMITATION, LACK OF STORAGE, LOW BATTERY, OVERHEATING, BACKGROUND APP RESTRICTIONS, OR OPERATING SYSTEM LIMITATIONS; OR
- YOUR FAILURE TO MAINTAIN A STABLE CONNECTION OR TO TIMELY UPDATE THE APP OR OPERATING SYSTEM.
In the event of widespread technical issues affecting the Service generally (as opposed to issues limited to your device or connection), Speed may, but is not obligated to, modify, pause, void, or resettle affected Contests, or issue credits or other remedies, all in Speed’s sole discretion.
12. Third-Party Services, Data & Transfers
The Service may integrate with or contain links to third-party services, data feeds, content, websites, and applications (collectively, “Third-Party Services”). We do not control and are not responsible for Third-Party Services, and your use of them is subject to their own terms and privacy policies.
You authorize Speed to share information about you and your account with Third-Party Services as reasonably necessary to provide the Service (for example, for payments, hosting, analytics, or fraud detection). Speed is not responsible for any acts or omissions of Third-Party Services, including any data breaches or misuse of information by those parties.
13. Intellectual Property & Limited License
All content, software, trademarks, logos, graphics, and other materials available through the Service are owned by or licensed to Speed and are protected by intellectual property laws. Subject to your compliance with these Terms, Speed grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial entertainment purposes only.
Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, or create derivative works based on the Service or any content therein.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
SPEED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPEED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR PARTNERS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
- ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- ANY ERRORS OR INACCURACIES IN DATA FEEDS, SCORING, CALCULATION, OR CONTEST OUTCOMES;
- ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR INFORMATION;
- ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE.
TO THE EXTENT NOT PROHIBITED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SPEED FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SPEED IN ENTRY FEES DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY FOR CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THE LIMITATIONS ABOVE SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
16. Indemnification
You agree to indemnify, defend, and hold harmless Speed, its affiliates, officers, directors, employees, and partners from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use or misuse of the Service or participation in any Contest;
- Your violation of these Terms or any Contest Rules;
- Your violation of any applicable law or regulation;
- Any fraud, chargeback, or payment dispute initiated by you or on your behalf (except to the extent caused by Speed’s error);
- Any content or information you submit, post, or transmit through the Service;
- Any claim arising from your actual or alleged involvement in money laundering, terrorist financing, or other unlawful activities using the Service.
17. Account Suspension & Termination
Speed may suspend, restrict, or permanently terminate your account, with or without notice, for any reason or no reason, including if Speed determines, in its sole discretion, that you have violated these Terms, engaged in suspicious or unlawful activity, threatened the integrity of the Service, or created risk or possible legal exposure for Speed or others.
Upon termination, you may lose access to your account, entries, and any Prizes not yet paid, subject to applicable legal requirements and Speed’s compliance procedures. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 10, 11, 13–20.
18. Changes to the Service & Terms
Speed reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, to the fullest extent permitted by law.
Speed may update or modify these Terms from time to time. If we make material changes, we may provide notice (for example, by updating the “Last updated” date, posting a notice within the Service, or sending an email). Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms.
19. Dispute Resolution, Arbitration & Waiver of Jury Trial
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE CERTAIN DISPUTES WITH SPEED THROUGH INDIVIDUAL BINDING ARBITRATION AND LIMITS YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”) that cannot be resolved informally shall be resolved by final and binding arbitration on an individual basis, rather than in court, except that you and Speed may pursue claims in small claims court if they qualify.
The arbitration shall be conducted by a recognized arbitration provider under its applicable rules, and the Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration agreement. The arbitrator shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement.
YOU AND SPEED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
IF, FOR ANY REASON, A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND SPEED WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY SUCH PROCEEDING SHALL BE CONDUCTED SOLELY BEFORE A JUDGE.
20. Governing Law & Venue
These Terms and any Dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent preempted by U.S. federal law.
Subject to the arbitration provisions in Section 18, you agree that any judicial proceeding permitted hereunder shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.
21. Miscellaneous
- Entire Agreement. These Terms, together with the Contest Rules and any policies referenced herein, constitute the entire agreement between you and Speed regarding the Service and supersede all prior or contemporaneous understandings.
- Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
- No Waiver. The failure of Speed to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without Speed’s prior written consent. Speed may freely assign these Terms without restriction.
- Force Majeure. Speed shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, labor conditions, internet failures, governmental actions, or failures of third-party providers.
